Terms of Service
These terms cover the AutoProcess platform and the services around it. They are written to be read, not to be survived.

Who these terms are with
The service is provided by Autoprocess Ltd, a company registered in England and Wales, company number 16700982. In these terms “we” means Autoprocess Ltd and “you” means the business we provide the service to.
Where we have a separate written agreement, proposal or contract with you, that document takes precedence over these terms wherever the two differ.
The service
We build and operate the platform described on our platform page, connecting your advertising accounts and your CRM so that real business outcomes are reported back to the advertising platforms and to you.
The platform is operated on your behalf. It is not offered for public sign-up.
Your accounts and access
- The advertising, CRM and infrastructure accounts the platform uses are yours. You hold them, you control them and you can withdraw our access at any time.
- You are responsible for keeping your own account credentials secure and for who you grant access to inside your organisation.
- You confirm you are entitled to grant access to the accounts you connect, including any belonging to your own clients.
- Withdrawing access will stop the platform working. That is intended.
What we will and will not do
The platform reads what it needs and reports outcomes back. It does not create, pause, edit or delete campaigns, and it does not change budgets, bids or targeting. Where you ask us to build actions beyond reporting, those sit behind an explicit approval step with a record of who approved what and when.
Advertising performance
We are responsible for the data being delivered correctly. We are not responsible for what an advertising platform then does with it.
Whether better data improves results depends on settings you control, such as which conversion action is counted and which bidding strategy a campaign runs, and on the advertising platforms' own algorithms. We will tell you plainly what those settings are and what we think they do. We do not guarantee any particular advertising outcome, cost per lead, return on spend or revenue.
Third party platforms
The service depends on APIs operated by Google, Meta and other providers. Those platforms change their terms, their features and their access policies, sometimes at short notice and sometimes in ways that remove a capability entirely. Where that happens we will tell you what changed, what it affects and what the options are. We are not liable for a third party platform withdrawing or altering its own service.
Data protection
How we handle data, including data accessed through Google APIs, is set out in our privacy policy, which forms part of these terms. Where the platform processes personal data belonging to your customers, you are the controller and we act on your instructions.
Fees
Fees, payment terms and what is included are set out in the proposal or contract agreed with you. Running costs charged by third parties, such as infrastructure or platform subscriptions, sit in your own accounts and are billed to you directly by those providers unless we have agreed otherwise in writing.
Ownership
Your data is yours. Work we build for you is yours on payment, handed over with the documentation needed to run it. Tools, patterns and general know-how we developed before or outside your project remain ours.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Otherwise, our total liability to you for any claim is limited to the fees you paid us in the twelve months before the claim arose. We are not liable for loss of profit, loss of revenue, loss of anticipated savings or indirect or consequential loss.
Ending it
Either of us can end the engagement in line with the agreement between us. On ending, you withdraw the access you granted, we stop, and we delete the data we hold on written request except anything we must keep by law.
Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
